Terms & Conditions

GIC

Global Intelligence Consulting Company Limited is a limited liability company duly organized and existing under the laws of the Socialist Republic of Vietnam that provides services which includes business set up, company registration and licenses, background checks, human resource recruitment, work permit and visa application, office space and IT services

Definitions

  1. Consultant (GIC) - Company website is www.globalintelvn.com

  2. Terms & Conditions is a binding agreement between the client and the consultant which contains a set of obligations and responsibilities together with the terms for using GIC services.

  3. Client is an individual or company who pays for services conducted by the consultant.

  4. Services are all types of services offered by GIC to the client in which the conditions are stated herein this Terms and Conditions.

  5. Services order is a list of services and responsibilities that have been requested by the client to be executed by GIC, included in an invoice or debit note.

  6. Government shall refer to any institution that has governmental authority including its ministries or departments, be it in a national or local level. 

Declarations

  1. The client hereby declares that it is of sound mind and capable of binding themselves in a legal agreement.

  2. GIC, in executing the listed services, may create email accounts or account at government level for client's interest including passwords, either by using client's data or GIC internal process.

  3. Clients are prohibited from creating and/or using devices, software, or other tools intended to manipulate the GIC system, including but not limited to data manipulation, scraping activities, or any other activity that can be reasonably valued as acts of system manipulation.

  4. GIC without prior notice to the client, has the authority to take necessary actions on any alleged violations or violation of Terms and Conditions applicable with the laws of the Socialist Republic of Vietnam.

  5. The client hereby indemnifies GIC from any responsibility upon any loss or damages arising from misuse of data or information by the client transferred by GIC.

  6. In the event that the client breaches article 5 of this declaration, the client hereby grants the right to GIC to declare that such service has been completed without requiring to prove otherwise.

Services and Transactions

  1. GIC will provide the list of services and assistance, in as much as provide such services in a timely and competent manner.  The client will provide GIC with all documents and information as requested by local government authority for the delivery of such services. 

  2.  For services rendered, the client agrees to pay GIC a non-refundable amount except regulated otherwise.

  3. The payment shall be made in US dollars (USD) or Vietnam Dong (VND) with respect to the current rate at the date of payment, not later than 30 days after submission of invoices or debit note.

  4. Any late payment for the service and assistance, including but not limited to additional invoices occurring as the result of GIC work for the client, shall be imposed with penalty based on the amount mentioned in invoice as the following:​​

    • Thirty one (31) days after the submission of invoices/debit note: 5% ​

    • Forty (40) days after submission of invoices/debit note: 10%

    • Sixty (60) days after submission of invoices/debit note: 15%

    • Ninety (90) days after submission of invoices/debit note: 20%

  5. All payment shall be based on debit note/invoice.

Terms

  1. For the services rendered by GIC in pursuant to this Terms and Conditions such as background checks, virtual office, co-working office, annual type services and others included under services, the contract term shall be

    • Twelve (12) months from the date of Service payment and is automatically extended  for another 12 (twelve) months period based on the same terms and conditions herein, unless otherwise agreed by the parties for termination one (1) months prior to expiration of the original duration​

    • Services shall continue for a full and uninterrupted twelve (12) months and shall not terminate with any terms, unless due to force majeure as regulated in this Terms and Conditions

  2. The contractual term for the service rendered in pursuant to this terms and conditions such as background checks, business set up, company registration, foreign investment license registration, product registration, visa and work permit application, and the like, shall become effective from the date of service payment and shall expire on the date that services are completed thereafter.

  3. Client hereby acknowledges and agrees that in the event that the required documents is not provided to GIC within 2 months from the effective date, and do not require extension, GIC has the right to declare the completion of the service.

Waivers

Failure of either party to promptly enforce this terms and conditions or any of its terms shall not constitute an implied modification or waiver of enforcement of any such terms regardless of the number of times or the frequency with which any such term is violated. 

Successors 

The terms and conditions are binding and shall endure to the benefit of the parties who signed, their valid assignees and successors in interest. 

Dispute Resolution

  1. Any disputes that may arise during the term of this agreement shall firstly refer to negotiation.

  2. Both parties shall opt for arbitration in accordance with the provisions of Arbitration Law in Vietnam in case a resolution between both parties in not reached.

  3. The tribunal shall consist of a sole arbitrator, mutually appointed by the Parties in accordance with the provisions of the arbitration act.  Any arbitral award issued by the arbitrator shall be final and binding between parties.  The venue of the arbitration is in Ho Chi Minh City and the language of arbitration shall be in English.  It is clarified that any awards whether interim or final shall be made in Vietnam. 

  4. Judgement upon any arbitral award may be entered in the courts of Vietnam, for a judicial acceptance of the award and an order, as the case may be.

  5. The parties agree not to resort in any court litigation in any matter whatsoever so long as the dispute resolution process is in motion. 

Cancellation

  1. In the event that the client decides to cancel or terminate service after execution of this agreement, the payment is non-refundable.

  2. If services suffers delays definitely or indefinitely, stemming from a lack of proper documentation and information provided by the client to GIC, GIC shall reserve the right to seek amicable solution.

  3. The client agrees to disclose GIC with all information concerning personal or institutional in criminal cases or cases that causes loss to state finance or related to financial sector committed in the client's territory or home country prior to engaging all services offered by GIC.  

  4. Any violation of article 3 shall determine whether GIC is to accept or reject to deliver services to the client

  5. The client agrees to indemnify GIC from all legal consequences arising from this clause. 

Notices

  1. Notices shall in in writing and shall be sent to the email address: globalintelservices@globalintelvn.com 

  2. Notices given in any other manner shall be conclusively presumed to be invalid, void and of no effect. 

Disclaimer

  1. GIC will conduct its best effort to deliver the services and assistance, in accordance with which specifically listed Services, in a timely and competent way.  the negligence and/or failure of the client to provide all documents and information requested by local institutions for services realization;

  2. Force majeure (fire, flood, typhoon, earthquake, strike, labor trouble, war, embargo, legal prohibition, riot, insurrection, internet failure, planned or unplanned delays in government institutions, pandemic), preventing or delaying the performance temporarily or permanently.​

  3. GIC will endeavor to deliver the services and assistance according to the services list, with the condition that the client has provided all documents and information requested by local institutions for services realization.  In the event that the product or services application was not approved by the local institution although the client has provided all documents and information requested, GIC will propose an alternative solution for consideration.

  4. In the event that GIC does not obtain any response from client, concerning execution, completion or renewal of services, despite email correspondence, then the client agrees to grant the right to GIC to conduct any action of the following concerning services:​

    • suspension​

    • termination

    • transfer company ownership and license to any party appointed by the client beforehand

    • liquidate security deposit and all outstanding invoice

    • demand compensation in the event that the security deposit is inadequate to accommodate such action and/or bill all outstanding invoices

Severability

  1. The remaining provisions of this terms and conditions shall not in any way be affected or impaired in the event of invalidity, unlawful or unenforceability under the applicable laws. 

Miscellaneous

  1. The client agrees and permits GIC to apply the right of retention concerning documents belonging to the client under GIC's care.

  2. All matters which are not included or not adequately provided in this terms and conditions shall be settled by mutual agreement between both parties.

  3. Terms and conditions may be revised and/or renewed from time to time without notice.  Usage of GIC service shall be deemed as client's approval to any revision or renewal of such terms and conditions.
